Subscription Agreement

This Subscription Agreement (“Agreement”) outlines the terms, conditions, and policies governing credit-based purchases, auto-renewal features, and payment-related activities on the Global Fashion Directory LLC (“GFD,” “we,” “us,” or “our”) platform. By purchasing credits, subscribing to packages, or using paid features, you (“you,” “your,” or “User”) agree to the terms of this Agreement.
This Subscription Agreement is part of GFD’s Terms of Service and is incorporated by reference into those Terms. By accessing or using any paid features of the Platform, you agree to be bound by the Terms of Service and this Subscription Agreement.
1. Credit Packages and Platform Access
GFD operates on a flexible credit-based system. Users may select and purchase credit packages according to their goals and usage needs. Current credit packages include: Essential, Pro, Premium, and Elite. Each package provides a specific volume of credits and may include access to additional services such as onboarding support, matchmaking, strategic outreach, or expert coaching.
GFD does not assign membership tiers. All users access the same platform functionality; only the volume of credits and included support services vary by package.
All development of GFD’s proprietary technology, including the Match Engine™, is conducted within the United States by U.S.-based employees and contractors. GFD does not outsource R&D activities internationally.
2. Credit-Based System and Usage
GFD uses a flexible credit-based system. Credits may be purchased directly through the platform and used to access enhanced listings, business profile unlocks, outreach tools, and other value-added services. Pricing for credit packages is available on the GFD pricing page.
- Credit Packages: Users can choose from different plans, including Essential, Pro, Premium, and Elite, each offering a unique mix of credits and support services.
- Credit Access: Credits can be used to engage with verified businesses, unlock detailed profiles, participate in outreach, and access advanced tools like the Match Engine™.
- Non-Expiring Credits: Purchased credits remain valid indefinitely, offering members flexibility to use them at their own pace.
- Free and Promotional Credits: New users may receive welcome credits to explore platform features. Promotional credits may be subject to specific terms, which will be clearly outlined at the time of issuance.
3. Platform Features and Access
All users can browse the GFD platform and use credits to unlock features. Features that require credits are clearly indicated. The number of credits purchased determines access to tools, enhanced visibility, outreach support, and other credit-enabled services.
4. Subscription Renewal and Auto-Renewal
When available, you may choose to enable auto-renewal for your credit package. By doing so, you authorize GFD and its designated payment provider to automatically charge your payment method at the applicable renewal interval.
To maintain transparency and consumer protection, GFD will send a renewal reminder at least seven (7) days prior to your scheduled renewal date, including package details, billing amount, and cancellation instructions.
You may disable auto-renewal at any time through your GFD account settings or by contacting GFD at info@globalfashiondirectory.com. Disabling auto-renewal will not affect previously purchased credits, and there are no cancellation fees.
GFD complies with applicable U.S. and international laws governing subscription billing, including the U.S. Federal Trade Commission (FTC) requirements, the EU Consumer Rights Directive, and similar consumer protection laws globally.
5. Payments
All credit purchases are securely processed through GFD’s designated third-party payment provider. You are responsible for maintaining valid and up-to-date payment information associated with your account for any purchases or auto-renewals.
By purchasing credits, you agree to the pricing and billing terms in effect at the time of purchase, as published on the GFD pricing page. GFD does not access or store full payment card details.
If a payment fails or is declined, GFD may suspend credit access or platform services until the issue is resolved. Continued access to paid features may require resolving any outstanding balances or billing issues.
6. Refunds and Cancellations
GFD’s general policy is that all purchases of credits and digital services are final. However, refunds may be granted at GFD’s discretion under certain conditions as outlined below:
- Technical Issues: If a technical issue on GFD’s end prevents you from using purchased credits as intended, please contact GFD support. Refunds or credit adjustments may be issued at GFD’s discretion.
- Billing Errors: If you believe there has been an error in billing, contact GFD support within 30 calendar days of the charge to request a correction. GFD will review the claim and, if confirmed, issue a refund or adjustment as appropriate.
Promotional credits, bonuses, or similar offers are non-refundable and are subject to specific promotional terms at the time of issuance.
To request a refund, contact GFD support at info@globalfashiondirectory.com with details of the issue. Refund decisions are made at GFD’s sole discretion and may be subject to additional conditions based on individual circumstances.
If your credit package is subject to auto-renewal, you may cancel the renewal before the charge occurs to avoid billing. Refunds requested after renewal without prior cancellation will be reviewed at GFD’s discretion, but users are responsible for monitoring renewal notices sent to their account email address.
7. Changes to Pricing and Credit Packages
GFD reserves the right to adjust pricing, credit package structures, auto-renewal options, or other paid services at any time. Users will be notified of any significant price changes at least thirty (30) days before they take effect.
Any changes to credit package pricing or features that would impact future auto-renewals will be communicated to users at least fourteen (14) days prior to the effective date. Users with auto-renewal enabled will be given an opportunity to cancel before new pricing takes effect.
GFD may also periodically offer limited-time promotional discounts, bonus credits, or incentives. Such promotions are subject to specific terms communicated at the time of the offer, and GFD reserves the right to modify or cancel promotional offers without prior notice.
8. Annual Verification and Membership Maintenance
- Annual Profile Review: GFD may conduct an annual review of public directory listings to maintain the accuracy and integrity of the platform. Onboarded businesses may be asked to review their profile information, confirm compliance with relevant standards, and verify continued participation.
- Verification Renewal: Verified Members who complete the annual verification process are eligible for “Verified Member” status for the following year. Verified Members receive a digital badge indicating active verification (e.g., “Verified Member 2026”) to display on their website, social media, or other marketing materials.
- Non-Compliance: Users who do not respond to the verification request may lose their Verified Member status until the necessary information is updated. Profiles that remain unverified for extended periods may be removed from the directory.
9. Termination and Suspension
- Voluntary Termination: Users may terminate their subscription at any time by contacting GFD support. Upon termination, any published directory listing will be removed, and any remaining credits will be forfeited. Credits are non-transferable and are not eligible for a refund upon termination.
- Suspension or Termination by GFD: GFD reserves the right to suspend or terminate accounts for violations of any GFD policy, including the Terms of Service, Code of Conduct Policy, Forced and Child Labor Policy, Intellectual Property Policy, or other applicable agreements. Terminated accounts forfeit all remaining credits and directory benefits.
10. Marketing and Publicity
- Consent for Promotional Use: By using the GFD platform, users agree that their profiles, logos, and selected information may be used for promotional purposes, including in case studies and testimonials, as described in the Marketing and Publicity Agreement. Members may opt out or limit specific uses by contacting GFD.
11. Dispute Resolution, Arbitration, and Chargebacks
Any disputes related to subscriptions, credits, or payments are subject to the GFD Terms of Service and Dispute Resolution Policy. Members agree to attempt informal resolution through GFD Support first. If informal efforts fail, disputes shall be submitted to binding arbitration under the laws of the State of Hawaii, USA, and members waive the right to participate in class actions.
If you believe a billing error or unauthorized charge has occurred, please contact GFD support at info@globalfashiondirectory.com before initiating a chargeback. GFD will make every reasonable effort to resolve the issue promptly.
Initiating a chargeback without first contacting GFD may result in the temporary suspension or termination of your account. Users who submit false or unauthorized chargebacks may forfeit access to the platform and any remaining credits.
12. Modification of Subscription Terms GFD reserves the right to modify or update this Subscription Agreement at any time to reflect changes in pricing, law, or platform features. Users will be notified of material changes in advance. Continued use of the platform after updates constitutes acceptance of the revised Agreement.
